1. Introduction and Acceptance

Welcome to Precision Engineering Works ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, and products. 3. Services and Products

3.1 Service Provision

Precision Engineering Works provides precision manufacturing, CNC machining, engineering consultation, and related services. All services are subject to availability, technical feasibility, and mutual agreement on specifications, timelines, and pricing.

3.2 Custom Orders

Custom engineering projects require detailed specifications, technical drawings, and written quotations. We reserve the right to refuse any project that falls outside our capabilities or does not meet our quality standards. All custom orders require advance payment or deposit as specified in the quotation.

3.3 Quality Standards

We maintain high-quality standards in accordance with industry best practices and ISO standards where applicable. Specifications, tolerances, and quality requirements must be clearly defined before project commencement.

4. Pricing and Payment Terms

4.1 Quotations

All quotations are valid for 30 days unless otherwise stated. Prices are subject to change based on material costs, project complexity, and delivery requirements. Final pricing will be confirmed in writing before work commences.

4.2 Payment Terms

Payment terms are specified in each individual contract or invoice. Standard payment terms are net 30 days unless otherwise agreed. For custom projects, a deposit of 50% may be required before work begins, with the balance due upon completion.

4.3 Late Payments

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services or withhold delivery for overdue accounts.

4.4 Currency

All prices are quoted in Croatian Kuna (HRK) or Euro (EUR) unless otherwise specified. International clients may be subject to currency conversion fees and exchange rate fluctuations.

5. Intellectual Property Rights

5.1 Company IP

All content on this website, including but not limited to text, graphics, logos, designs, technical documentation, software, and compilation of content, is the exclusive property of Precision Engineering Works and protected by Croatian and international copyright, trademark, and intellectual property laws.

5.2 Client IP

Clients retain ownership of their original designs, technical drawings, and specifications provided to us. By submitting such materials, clients grant us a non-exclusive license to use these materials solely for the purpose of fulfilling the contracted services.

5.3 Confidentiality

We respect the confidential nature of client projects and technical information. We will not disclose proprietary information without explicit written consent, except as required by law or for the purpose of completing the contracted work.

5.4 Restrictions

You may not reproduce, distribute, modify, create derivative works, publicly display, republish, or commercially exploit any of our website content without prior written permission. Unauthorized use may result in legal action.

6. User Obligations and Prohibited Uses

6.1 Acceptable Use

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You must not use our services in any way that violates applicable laws or regulations.

8.2 Maximum Liability

8.4 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, power failures, or government actions.

9. Indemnification

You agree to indemnify, defend, and hold harmless Precision Engineering Works, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from:

• Your violation of these Terms
• Your violation of any rights of a third party
• Your use or misuse of our website or services
• Your provision of inaccurate or misleading information
• Any content or materials you submit or provide to us

10. Termination

10.1 Termination by Company

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our website and services ceases immediately.

10.2 Termination by Client

Clients may terminate services by providing written notice. Early termination may result in cancellation fees, restocking charges, or payment for work completed up to the termination date.

10.3 Effect of Termination

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Jurisdiction

11.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

11.2 Jurisdiction

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Croatia. You consent to the personal jurisdiction of such courts and waive any objection to venue.

11.3 EU Regulations

Where applicable, we comply with European Union regulations regarding consumer protection, data protection (GDPR), and electronic commerce.

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, controversy, or claim arising from these Terms, the parties agree to first attempt to resolve the matter through good faith negotiations. Either party may initiate negotiations by providing written notice to the other party.

12.2 Mediation

If informal negotiations fail to resolve the dispute within 30 days, the parties agree to attempt resolution through mediation before a mutually agreed mediator in Croatia before pursuing litigation.

12.3 Arbitration

For commercial clients, disputes exceeding €10,000 may be submitted to binding arbitration under the rules of the Croatian Arbitration Court, unless otherwise agreed in writing.

12.4 Consumer Rights

Nothing in these Terms affects the statutory rights of consumers under Croatian or EU law. Consumer clients retain the right to pursue claims through consumer protection agencies or small claims courts.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any written agreements for specific services, constitute the entire agreement between you and Precision Engineering Works regarding the use of our website and services.

13.2 Amendments

We reserve the right to modify these Terms at any time. Material changes will be notified through our website or by email to registered users. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

13.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

13.4 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their successors and permitted assigns.

These Terms are provided in English. In case of any conflict between the English version and translations in other languages, the English version shall prevail.
